Abstract

This paper reconstructs contract from the standpoint of entrepreneurial agency under uncertainty. An entrepreneur initiates purpose-sovereign labor: he authors the project purpose and success criteria and bears meaningful residual claimancy under Knightian uncertainty. To scale realization, he converts segments of his labor into commissioned work through task decomposition, technology transfer, and specification of acceptance criteria. Contract emerges as the pre-chosen protocol for resolving structurally inevitable disputes over scope, acceptance, evidence, forum, and remedies.
